The website – ‘www.rechargepanda.com’ and mobile application ‘Recharge Panda,’ along with all associated/ancillary applications, products, websites, and services (“Website/Platform”), are the property of and managed by Recharge Panda. The registered office address is NO 220, 2ND PHASE, DOMLUR 2ND STAGE, Bangalore North, Bangalore-560075, Karnataka, and the corporate office address is RA 423, Nabapally, Sec IV, Saltlake City, Kolkata - 700105 (hereinafter referred to as "Recharge Panda," which expression shall, unless repugnant to the context thereof, include its permitted successors and assigns).

 

Please read these terms and conditions carefully before registering, accessing, or using the Recharge Panda Services (defined below) offered through the Recharge Panda website, Recharge Panda App (defined below), or other communication mediums. These terms and conditions are a legal contract ("Terms of Use") between You and Recharge Panda. By using or accessing our platform, you acknowledge that you have read and agreed to these Terms of Use. If you do not agree to these Terms of Use or do not wish to be bound by them, you may not use the Recharge Panda Services and should immediately terminate your usage and/or uninstall the Recharge Panda App.

 

Definitions

• Recharge Panda, we, us, our: Refers to Recharge Panda and its services.
• you, your, User: Refers to any individual using or accessing the Website/Platform/Services, including customers and partners.
• Recharge Panda App: Refers to the mobile application(s) hosted by Recharge Panda for providing recharge and bill payment services to the Users.
• Recharge Panda Platform: Refers to any platform owned or subscribed to by Recharge Panda, including but not limited to the Recharge Panda Website, Recharge Panda App, other mobile applications, notifications, chatbots, social media channels, or any communication medium used by Recharge Panda to provide its services.
• Recharge Panda Website: Refers to ‘www.rechargepanda.com’ registered and managed by Recharge Panda.
• User Account: Refers to the account created by a User on the Recharge Panda App or Website to access services as per the terms and conditions set forth.
• Bharat Connect Agent Institution: Recharge Panda operates as an authorized Agent Institution under Bharat Connect, facilitating wallet-less recharge and bill payment services.
• Recharge Panda Services: Includes all wallet-less recharge and bill payment services offered by Recharge Panda, using Bharat Connect infrastructure.
• Terms of Use / Terms and Conditions: Interchangeably used and refer to these Terms of Service, including any supplemental terms or policies.

 

By accessing or using any version of the Recharge Panda Website/Platform, you confirm that you have read, understood, and agreed to these Terms of Use, the Privacy Policy, and all applicable laws.

 

Terms and Conditions Subject to Change

Recharge Panda reserves the right to update or modify these Terms and Conditions (T&C) at any time without prior notice. Your continued access to the Recharge Panda platform and use of its services following any such changes constitutes your agreement to adhere to and be bound by these updated T&C. Therefore, we encourage you to review the T&C periodically for any updates.

 

Eligibility

By using Recharge Panda, you confirm and warrant the following:

a) Competence and Eligibility

• You are 18 years of age or older.
• You are legally capable of entering into a binding agreement.
• You are not barred or otherwise prohibited under applicable laws from using Recharge Panda’s platform and services.

b) Account Usage Responsibility

• If you allow any individual, including minors, to use your Recharge Panda account, you take full responsibility for ensuring compliance with these T&C.
• You are solely accountable for any actions or transactions carried out through your account, whether by you or any authorized individual.

c) Compliance with Applicable Laws

• You are responsible for ensuring that your use of Recharge Panda is lawful and in compliance with the jurisdictional laws applicable to you, both within and outside India.
• Any use of the platform for unlawful purposes is strictly prohibited.

d) Service Accuracy Disclaimer

• Recharge Panda does not guarantee that all services, information, or functionalities provided on the platform are appropriate, accurate, reliable, or updated for every user or jurisdiction.
• Users access and use the platform at their own discretion and risk. Recharge Panda will not be liable for any discrepancies or consequences arising from such usage.

 

Registration on Recharge Panda and Terms of Use

To access Recharge Panda’s services, you must register by providing accurate and valid personal information. Recharge Panda reserves the right to verify the identity of its users and may take appropriate measures for security and compliance purposes, including:

a) Verification Process

• User identity verification may involve third-party service providers, such as government-authorized institutions or agencies.
• If the submitted information is found inadequate, Recharge Panda may refuse or terminate your account registration.

b) Account Rules

• You may maintain only one account at a time unless explicitly approved by Recharge Panda.
• The account must be used solely for lawful purposes and personal transactions.
• You must provide and maintain truthful, accurate, and up-to-date information in your account.

c) Security Responsibility

• You are responsible for the confidentiality of your account credentials and for reporting any unauthorized or suspicious activity to Recharge Panda’s support team immediately.
• Recharge Panda is not liable for any losses or damages resulting from negligence in securing your account.

 

Responsibilities of the Company

Recharge Panda, including its owners, managers, directors, employees, agents, partners, advertisers, or affiliates, shall not be liable for any loss, damage, or injury arising from the use of its platform or services. This includes, but is not limited to, any legal actions stemming from such use.

1. Third-Party Content and Information
   • Any information, including listings, names, content, or materials of professionals or entities found on the platform, does not constitute an endorsement or recommendation by Recharge Panda.
   • Recharge Panda does not guarantee the authenticity, accuracy, or reliability of any third-party information available on its platform.
2. No Responsibility for Third-Party Content
   • Recharge Panda shall not be held liable for any third-party content shared on the platform. Users are strictly prohibited from posting content that is false, defamatory, abusive, harassing, obscene, sexually explicit, or threatening, or that invades another person's privacy.
   • If any content is found to be objectionable or illegal, users may report it to Recharge Panda’s customer care team via the provided email address or helpline.
   • Upon receiving a valid complaint, Recharge Panda will review and, if necessary, remove the reported content from public access within 72 hours. However, Recharge Panda does not pre-screen or monitor third-party content and is not responsible for its authenticity or accuracy.
   • Users who post infringing or objectionable content may face appropriate legal action by Recharge Panda.
3. Liability Limitation
   • Under no circumstances shall Recharge Panda be held liable for any special, indirect, exemplary, or consequential damages resulting from the use of its platform, third-party content, or any claims arising therefrom.

 

Prohibited Activities

Users are prohibited from engaging in the following activities while using the Recharge Panda platform or in connection with it:

1. Illegal or Unauthorized Use
   • Posting, uploading, or sharing any content that belongs to another person without the necessary rights or permissions.
   • Sharing content that is defamatory, obscene, sexually explicit, pedophilic, hateful, racially or ethnically objectionable, or promotes money laundering, gambling, or any unlawful activities.
2. Harmful or Infringing Content
   • Sharing content that causes harm to minors or infringes on any patents, trademarks, copyrights, or proprietary rights.
   • Violating any applicable laws or regulations through shared content or activities.
3. Misleading or Malicious Activities
   • Misleading others regarding the origin of messages or sharing information that is offensive or menacing.
   • Impersonating any person or entity or transmitting malicious software, viruses, or code that disrupts or damages computer resources.
4. Threat to National Integrity
   • Sharing content that threatens India’s unity, integrity, defense, security, sovereignty, or public order.
   • Content that incites criminal activity, disrupts investigations, or insults other nations is also strictly prohibited.

 

Transaction and Monitoring Policy

Recharge Panda actively monitors all transactions executed or attempted on its platform to identify and address suspicious activities. The following practices guide transaction monitoring:

1. Transaction Review
   • Transactions inconsistent with a user's risk profile, sophistication, or usage patterns may be flagged for further investigation.
   • Monitoring intensity depends on various factors, including the user's risk profile.
2. Regulation Steps
   Recharge Panda reserves the right to implement the following measures to ensure the platform's secure and lawful use:
   • PAN Check: Users may be required to provide the PAN card details of the payment recipient for verification.
   • Transaction Limits: Limits may be applied to the number or size of transactions on a per-transaction or monthly basis.

 

Additional Terms of Platform Usage

By using the Recharge Panda platform, users acknowledge and agree to the following terms:

1. Voluntary Use
   • Users utilize the platform of their own free will, uninfluenced by promotional communications from Recharge Panda or its partners.
   • Usage of the platform is at the user's sole risk.
2. No Indemnity for Service Breaches
   • Recharge Panda is not obligated to indemnify users for service-related issues, including but not limited to:
     • Loss of revenue, business, or data.
     • System crashes, malware attacks, or technical disruptions.
     • Unavailability or delays in platform services.
3. Platform Disclaimer
   • The platform is provided on an "as is" basis, without warranties regarding security, reliability, or accuracy.
   • Recharge Panda disclaims all implied warranties, including merchantability, non-infringement, and fitness for a particular purpose.
4. User Responsibility
   • Users are solely responsible for the content they post on the platform and agree to indemnify Recharge Panda and its affiliates against claims arising from such content.
   • In the event of disputes, the user's exclusive remedy is to discontinue platform use.

 

Limitation of Liability

Recharge Panda, its affiliates, and its representatives shall not be liable for any damages, including but not limited to:

• Loss of profits, data, or business opportunities.
• Incidental, consequential, or punitive damages.
• Damages arising from interruptions, viruses, or system crashes.

 

Rights Reserved by Recharge Panda

Recharge Panda reserves the right to control, modify, or discontinue any offers, pricing, discounts, or redemption programs without prior notice or explanation.

 

Intellectual Property Rights Policy

1. Ownership of Content
   All content available on the Recharge Panda platform, including but not limited to page headers, images, illustrations, graphics, audio clips, video clips, text, interfaces, reports, trademarks, trade names, and trade secrets ("Platform Content"), constitutes the intellectual property of Recharge Panda.
   • No assignment, transfer, or license is granted to users by the mere use of the platform.
   • All Platform Content is protected by copyright laws and applicable intellectual property regulations in relevant jurisdictions.
2. Permitted Use
   Users are allowed to access and use the Platform Content solely for personal or internal purposes.
   • Duplication, distribution, derivative works, display, or commercial exploitation of Platform Content is strictly prohibited unless expressly authorized.
   • To request permission for commercial use, users may contact Recharge Panda.
3. Ownership Rights
   Recharge Panda retains exclusive ownership of the platform's software, source code, trademarks, logos, copyrights, and any associated intellectual property rights.
4. Authorization to Use Brand Logos
   Recharge Panda has been granted the right by BBPS through Agent Institution Agreement in Clause No: 13.1 dated 28th March 2024 under Certificate No: IN-DL48481354136902W to use, display, and reproduce the names, brand names, trademarks, word marks, service marks, and logos of operators (“Marks”) on our platform. These rights are exclusively related to the marketing and facilitation of BBPOU services and BBPS facilities to the public. Recharge Panda confirms that we have the necessary authorization to utilize these Marks in accordance with the permissions granted by BBPS. All intellectual property rights in the Marks remain with their respective owners, and Recharge Panda acknowledges and respects these rights.
5. Third-Party Content
   Any intellectual property rights related to third-party content displayed on the platform remain the property of the respective owners. Recharge Panda’s use of such content is limited to its intended purpose and governed by applicable agreements.

 

Developer and Publisher Information

The Recharge Panda App is published under Developer Account vide agreement dated 5th January 2025 where Recharge Panda completely owns the business, source code, all intellectual property and legal obligations related to it and no data is shared with the developer or their team.

 

User Account, Password, and Security

1. Account Creation
   Users must create an account ("Account") to access services on the platform. The account credentials, including the password, must be kept confidential.
2. User Responsibility
   Users are solely responsible for all activities under their account and agree to:
   • Notify Recharge Panda immediately of unauthorized use or security breaches.
   • Log out from their account at the end of each session.
3. Liability Disclaimer
   Recharge Panda will not be held liable for any loss or damage arising from a user's failure to maintain account security.

 

Upgrade to Business Account

Upgrade your Recharge Panda account with a one-time nominal fee including 18% GST and unlock exclusive business features. Start earning commissions by selling services on our platform and withdraw your earnings anytime!  

 

1. Users can upgrade their Recharge Panda account by paying a one-time nominal fee including 18% GST.  
2. Users must need to verify their KYC to upgrade to business account.
3. Upon upgrading, users gain access to business features and can earn commissions by selling any service available on the platform.  
4. Earnings made from transactions can be withdrawn directly to their linked bank account.  
5. The one-time fee is non-refundable and grants access to business features for the account's lifetime.  
6. Recharge Panda reserves the right to modify, update, or revoke access to services in case of any policy violation or misuse

Termination/Deletion or Deactivation of User Account

1. User's Right to Deactivate/Delete Account
   • You have the right to deactivate or delete your account and discontinue the use of the Recharge Panda App at any time, at your discretion.
   • Upon deactivation, you may opt to archive your user information and credit instrument details from the app.
2. Deletion of Account
   • Account deletion will be considered the termination of the contract between you and Recharge Panda. However, Recharge Panda may continue to retain a record of your transactions on the Recharge Panda App for regulatory and archival purposes.
   • The termination of the contract is contingent upon no outstanding dues from the user and no open disputes or transactional liabilities.
   • Even after account deletion, Recharge Panda may retain transaction records for compliance and archival purposes.

 

User Communications

By accepting these T&C, you consent to being contacted by us, our agents, representatives, affiliates, or third parties acting on our behalf at the contact details you provide (such as phone numbers, email addresses) during account registration. You agree to being contacted via various channels, including but not limited to:

• SMS messages, calls using pre-recorded messages, automated dialing systems, or artificial voice technology, and notifications via the services.
• Automated messages may be played when your phone is answered, and messages may be left on voicemail or sent via SMS.

You represent and warrant that the contact details you provide (phone numbers, emails, etc.) are accurate and belong to you, not someone else. You agree to notify us promptly if you stop using a phone number or email address provided to us.

 

User Guidelines

1. Use of Services
   • You agree not to use the services for unlawful purposes or in violation of these T&C and our Privacy Policy.
   • You must not use the services in a way that could damage, overload, or impair our systems, interfere with others' use, or gain unauthorized access to any features or other user accounts.
2. Access and Behavior
   • Any activities originating from your device will be considered as initiated by you.
   • You shall not reproduce, distribute, or create derivative works of the content available on the app/website or attempt to reverse-engineer or decompile the software.
   • In case of device loss or theft, you should immediately request the company to block your account and change your password.
3. Responsibility for Account Activity
   • You are responsible for all activities occurring in your account. You agree to notify us immediately in case of unauthorized use or security breaches.
   • You are liable for any losses incurred by the company or any third party resulting from the unauthorized use of your account, especially if you fail to notify us promptly.
4. Security of Information
   • While the company strives to maintain the confidentiality of your information, it is not liable for any disclosure or loss due to theft, negligence, or failure on your part to maintain security.
   • You are responsible for ensuring compliance with applicable laws and regulations while using the app.

 

Accuracy of Materials

• The materials provided as part of the Services and displayed on the App/Website may contain technical, typographical, or photographic errors.
• The Company does not guarantee that the materials on the App/Website are accurate, complete, or current.
• While the Company may update the materials available on the App/Website from time to time, it is under no obligation to do so, and such updates may be made without prior notice.

 

Payment and Refund Policy

1. Payments for recharge and bill payments must be made through approved payment methods.
2. In case of a failed transaction, refunds will be processed to your original payment source within 7-10 business days.
3. Recharge Panda is not responsible for delays caused by banks, payment gateways, or service providers.

 

Third Party Links, Promotions, and Advertisements

1. Third-Party Links
   • Any links to third-party apps or websites on the App/Website are not verified by the Company. The inclusion of such links does not imply endorsement by the Company.
   • Access to and use of these third-party websites or services is entirely at your own risk.
2. Promotions and Advertisements
   • The App/Website may feature promotions and advertisements for third-party products and services.
   • Any dealings or business transactions with these third parties are solely between you and the third parties involved.
3. Limitation of Liability
   • The Company is not responsible for any loss or damage incurred as a result of dealings or interactions with third parties.

 

Force Majeure

• The Company will not be held liable for any failure or delay in performing its obligations if such failure or delay is caused by events beyond its reasonable control.
• These events include, but are not limited to, acts of God, governmental actions (e.g., lockdown declarations), war, terrorism, floods, fires, strikes, epidemics, pandemics, civil unrest, or power outages.

 

Indemnification

• You agree to indemnify, defend, and hold harmless the Company, its officers, directors, partners, employees, agents, investors, and representatives from any claims, damages, costs, and expenses, including attorney fees, arising from:
  • Your violation of these T&C.
  • Your infringement or violation of any intellectual property rights or other rights of third parties, including those related to your use of the Services.
• This indemnification obligation will survive any termination or cancellation of these T&C or your use of the Services.

 

Warranties

1. No Warranties
   • The Services, including all functions and features of the App/Website, are provided "as is" and "as available."
   • The Company expressly disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
2. Service Performance
   • While the Company will make reasonable efforts to ensure the Services are functional, it does not guarantee that the Services will meet your requirements, be uninterrupted, secure, or error-free.
   • No warranty is made regarding the results that may be obtained from using the Services, or the accuracy, reliability, or quality of the output derived from the use of the Services.
3. Data Loss or Security Breach
   • The Company is not liable for the loss or damage of your confidential information or data resulting from events beyond its control, including internet failures, attempted hacker attacks, denial of service attacks, or malicious software attacks.
4. Downloaded Materials
   • Any material downloaded or obtained through the use of the Services is done at your own discretion and risk.
   • You are solely responsible for any damage to your device or data loss resulting from downloading such materials.
5. No Additional Warranties
   • No advice or information obtained from the Company, whether oral or written, will create any warranty that is not expressly stated in these T&C.

 

Confidentiality

"Confidential Information" means non-public information that the Disclosing Party designates as being confidential in writing or orally, or that is third-party/Customer's sensitive information disclosed in confidence, or any information that, under the circumstances surrounding disclosure, should be treated as confidential.

For perpetuity from respective disclosure under this Agreement, the receiving Party shall treat as confidential all Confidential Information provided by the other Party, including trade secrets, proprietary information, sensitive personal information, or any other sensitive data belonging to its customers, financial details. The receiving Party shall not use such Confidential Information except as expressly set forth herein or otherwise authorized in writing and shall not disclose such Confidential Information to any third party except as may be necessary in connection with its rights and obligations under this Agreement.

 

Exceptions: Notwithstanding the above, neither Party shall have liability regarding any Confidential Information which:

1. Was generally known and available in the public domain at the time it was disclosed, or became known and available in the public domain through no fault of the receiver.
2. Was known to the receiver at the time of disclosure as shown by the receiver’s files in existence at the time of disclosure.
3. Is disclosed with the prior written approval of the Discloser.
4. Is disclosed pursuant to the order or requirement of a court, administrative agency, or other governmental body; provided, that the receiver shall provide reasonable advance notice to allow the Discloser to seek a protective order or otherwise prevent such disclosure.

 

Severability

If any provision of these T&C is held to be illegal, invalid, or unenforceable under any present or future applicable laws: (a) such provision will be replaced with another that is not prohibited or unenforceable and has, as far as possible, the same legal and commercial effect as that which it replaces; and (b) the remaining provisions of the T&C will remain in full force and effect and will not be affected by the illegal, invalid, or unenforceable provision or by its severance here from.

 

Termination

Recharge Panda may block, restrict, disable, suspend, or terminate the use of the Services at any time without giving any notice if you are found to:

1. Be in breach of the terms of these T&C (including the Privacy Policy);
2. Violate any applicable laws;
3. Infringe the intellectual property rights of any third party;
4. Act in a manner that may result in any claim against Recharge Panda.

Upon termination, the rights and license granted to you shall terminate, and you must cease all use of and access to the Services and/or App/Website. You must destroy any downloaded materials in your possession, whether in electronic or printed format.

 

Any termination of your right to use or access the App/Website and/or Services shall not affect liability incurred by you prior to such termination.

 

Waiver

Any failure on the part of Recharge Panda to require performance of any provision of these T&C shall not affect its right to full performance thereof at any time thereafter. Any waiver by Recharge Panda of a breach of any provision hereof shall not constitute a waiver of a similar breach in the future or of any other breach.

 

Assignment

You shall not assign or transfer any rights, obligations, or privileges that you have under these T&C, without the prior written consent of Recharge Panda. Subject to the foregoing, these T&C will be binding on your legal heirs, successors, and permitted assignees. Any assignment or transfer in violation of this clause will be deemed null and void. Recharge Panda's rights under these T&C are freely transferable to any third parties without the requirement of intimating you or seeking your consent.

 

Updates

Recharge Panda reserves the right to update the App/Website and/or the Services to, inter alia, increase efficiency, optimize user interface, and add new facilities from time to time. Update packages will be sent to you on your Device for download and installation.

 

You hereby agree to install the updates from time to time and acknowledge that Recharge Panda will only be able to provide Account support for the Services if you ensure the installation of all updates upon receiving notifications thereof when using the Services.

 

Validity of T&C

These T&C shall apply when you complete the authentication process and create an Account and shall remain valid and binding on you for as long as you maintain the Account.

 

Governing Law and Jurisdiction

These T&C (and by extension, the Privacy Policy) are governed and construed in accordance with the laws of India under Kolkata jurisdiction. By using the Services, you hereby irrevocably consent to the exclusive jurisdiction and venue of courts in Kolkata, West Bengal, in the event of any disputes arising out of or in relation to your access to and use of the Services.

 

Grievance Redressal

The User may report violations of privacy, information theft, identity theft, or grievances related to the information shared, collected, stored, or disseminated by Recharge Panda in relation to the Website/Platform through the customer support email address: legal@rechargepanda.com.
